Product End User License Agreement (EULA)

Please read this Product End User License Agreement (EULA) carefully before using any Licensed Materials. If you do not agree to these terms, you may not purchase, access, download, receive, or use the Licensed Materials.

This EULA is incorporated into and forms part of the Terms of Service for The Full Cup Enterprise LLC d/b/a Grounded Talent Advisors. In this EULA, “Licensor” means The Full Cup Enterprise LLC d/b/a Grounded Talent Advisors, and “you” or “your” means the individual or entity that purchases, downloads, opens, enters an access code for, receives, accesses, or otherwise uses the Licensed Materials. “Licensed Materials” means any template, workbook, tracker, tool, resource, course material, guide, document, framework, methodology, digital file, downloadable product, or other intellectual property made available by the Licensor. By purchasing, downloading, opening, entering an access code for, receiving, accessing, or otherwise using any Licensed Materials, you agree to both the Terms of Service and this EULA. If you do not agree, do not purchase, access, download, receive, or use the Licensed Materials.

1. DEFINITIONS AND ACCEPTANCE

This EULA applies to all Licensed Materials made available by the Licensor, whether provided through purchase, download, access code, account access, email delivery, marketplace delivery, or any other method of access. Capitalized terms used in this EULA have the meanings given in this document or in the Terms of Service, as applicable.

2. LICENSE GRANTED

The Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use one copy or authorized instance of the Licensed Materials for your own personal or internal use, as applicable to the materials provided. This license is issued to one individual unless a separate written license states otherwise. It is not a team, household, classroom, institutional, enterprise, resale, commercial, client-service, or public-use license. Any team, organizational, classroom, institutional, enterprise, resale, commercial, client-service, or public use requires a separate written license from the Licensor.

3. REFUNDS

Due to the immediate-access nature of e-books/e-guides, templates, trackers, worksheets, digital downloads, recorded materials, and other electronic products, all sales of digital products are final and non-refundable once purchased, accessed, downloaded, delivered, or made available to you, except where a refund is expressly required by applicable law or agreed in writing by the Licensor.

4. PERMITTED USE

You may use the Licensed Materials on devices or accounts you personally own or control. You may enter, edit, and store your own content in them; print or export copies for your own personal or internal use; and reference your own completed entries, notes, plans, or outputs for their intended purpose. These permitted uses apply only if you do not distribute, reproduce, or exploit the Licensed Materials themselves or any Licensor-owned element.

5. PROHIBITED USE

You may not copy, share, forward, upload, post, publish, sell, resell, rent, sublicense, transfer, disclose, or otherwise distribute the Licensed Materials or any part of them; share any access code, file, link, download, password, or licensed copy with any other person; remove, obscure, or alter any copyright notice, license notice, licensee name, watermark, or branding; reproduce, imitate, adapt, extract, repurpose, or use the Licensor’s preexisting layout, structure, wording, design, methodology, frameworks, worksheets, prompts, scripts, sample content, branding, or other Licensor-owned content to create a competing or derivative product, template, workbook, course, coaching resource, software, service, or client deliverable; use the Licensed Materials or Licensor-owned elements in any paid service, program, cohort, membership, class, consulting engagement, agency work, or client deliverable of your own; or use the Licensed Materials or Licensor-owned content to train, fine-tune, prompt, seed, benchmark, or cause any artificial intelligence system to reproduce, summarize, imitate, or generate substantially similar materials.

These restrictions do not limit your ownership or independent use of original content that you personally create and enter into the Licensed Materials, provided that you do not distribute, reproduce, or exploit the Licensed Materials themselves or any Licensor-owned element.

6. OWNERSHIP

The Licensed Materials are licensed, not sold. All right, title, and interest in and to the Licensed Materials and all Licensor-owned intellectual property remain the exclusive property of the Licensor. This includes, without limitation, their preexisting structure, layout, design, methodology, frameworks, worksheets, prompts, scripts, sample content, copy, branding, trade names, trademarks, and related creative or instructional materials. Original content you personally create and enter remains yours, and nothing in this agreement transfers ownership of that original content to the Licensor.

7. ACCESS CODES AND LICENSED COPIES

Any access code, download link, account access, file, or licensed copy is personal to you unless a separate written license states otherwise. Licensed Materials may record or display the licensee name, purchaser name, account information, watermark, or other identifying information. Distributing any such code, link, file, account access, or licensed copy breaches this agreement and may be traced to your purchase or account.

8. NO WARRANTY AND NO GUARANTEE OF OUTCOME

The Licensed Materials are provided “as is,” without warranties of any kind, express or implied. They are informational, organizational, educational, strategic, creative, or preparation resources only, as applicable, and are not legal, financial, tax, medical, employment, or professional advice. The Licensor makes no guarantee of any specific result, outcome, revenue, employment, interview, offer, business result, or other benefit. To the fullest extent permitted by law, the Licensor’s total liability arising from the Licensed Materials is limited to the amount you paid for the specific Licensed Materials giving rise to the claim.

9. THIRD-PARTY PLATFORMS AND TOOLS

The Licensed Materials may require the use of, or be delivered through, third-party software, applications, platforms, or services (for example, Google Workspace, Microsoft Office, Notion, Canva, or course-hosting platforms). The Licensor does not own or control these third-party tools and is not responsible for their continued availability, functionality, security, or any updates or changes that may affect your ability to use the Licensed Materials. Your use of any third-party platforms is entirely at your own risk and is subject to their respective terms of service and privacy policies.

10. SUPPORT AND UPDATES

This license does not include a guarantee of technical support, customization, future updates, continued availability, or compatibility with any particular software, device, operating system, marketplace platform, file format, application, or third-party service. The Licensor may offer updates, support, revisions, or replacements at its discretion, but is not required to do so.

11. FEEDBACK AND SUGGESTIONS

If you provide the Licensor with any comments, suggestions, recommendations, feature requests, or other feedback regarding the Licensed Materials (“Feedback”), you acknowledge and agree that such Feedback is not confidential. You grant the Licensor a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, create derivative works from, and otherwise exploit such Feedback for any business purpose, including to improve the Licensed Materials or develop new products, without any obligation, attribution, or compensation to you.

12. TERMINATION

This license terminates automatically if you breach any term of it. On termination you must stop using the Licensed Materials and delete all copies in your possession or control. The Licensor may deactivate any access code, account access, download link, or licensed copy that has been shared, distributed, misused, or used outside the scope of this agreement, and may pursue any remedy available at law or in equity.

13. RELATIONSHIP TO TERMS OF SERVICE

This EULA supplements and is incorporated into the Terms of Service. In the event of any direct conflict between the Terms of Service and this EULA, this EULA shall control exclusively with respect to your access, use, and limitations regarding the specific Licensed Materials. 14. AGE AND CAPACITY

By purchasing, downloading, receiving, accessing, or using the Licensed Materials, you represent and warrant that you are at least eighteen (18) years of age, or the age of majority in your jurisdiction, and that you have the legal capacity and authority to enter into and be bound by this EULA.

15. ENTIRE AGREEMENT

This EULA, together with the Terms of Service and any other agreements or policies expressly incorporated by reference, constitutes the entire agreement between you and the Licensor regarding the Licensed Materials. It supersedes all prior or contemporaneous negotiations, discussions, communications, representations, and proposals, whether oral, written, or electronic, between you and the Licensor concerning the Licensed Materials.

16. RESERVATION OF RIGHTS

All rights not expressly granted to you in this EULA are reserved by the Licensor. No implied license, waiver, transfer, assignment, or other right is granted by implication, estoppel, course of dealing, or otherwise.

17. VIOLATIONS AND REMEDIES

Unauthorized copying, sharing, distribution, resale, sublicensing, public posting, commercial exploitation, removal of notices, misuse of access codes, or other use outside the scope of this license may cause irreparable harm to the Licensor. In addition to terminating your license, the Licensor may seek injunctive relief, damages, recovery of profits, attorneys’ fees, costs, deactivation of access, removal requests, and any other remedies available at law or in equity.

18. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Licensor, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use or misuse of the Licensed Materials, your violation of this EULA, your violation of the Terms of Service, or your infringement of any intellectual property or other right of the Licensor or any third party.

19. SURVIVAL

Any provisions that by their nature should survive termination or expiration will survive, including without limitation provisions concerning ownership, prohibited uses, access codes and licensed copies, no warranty, limitation of liability, indemnification, relationship to the Terms of Service, reservation of rights, violations and remedies, governing law and venue, severability, and copyright notices.

20. SEVERABILITY

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, illegal, or unenforceable provision will be enforced to the maximum extent permitted by law or replaced with an enforceable provision that most closely reflects the original intent.

No portion of the Licensed Materials may be copied, reproduced, distributed, transmitted, displayed, published, uploaded, posted, sold, sublicensed, adapted, or otherwise exploited except as expressly permitted by this EULA or a separate written agreement signed by the Licensor.

22. GOVERNING LAW AND VENUE

This agreement is governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without regard to conflict-of-law principles. Any dispute arising from or relating to the Licensed Materials or this agreement must be brought exclusively in a state or federal court located in or serving Johnston County, North Carolina, United States of America, unless applicable law requires otherwise.

23. CHANGES TO THIS EULA

We may update, revise, or replace this EULA from time to time to reflect changes in our Licensed Materials, business operations, or legal requirements. Updated terms may be posted on the Website, included with future product downloads, or otherwise communicated to you. Your continued access to or use of the Licensed Materials after revised terms are posted constitutes your acceptance of the updated EULA.
